TERMS & CONDITIONS FOR EXHBITING AT THE IDAHO GREEN EXPO
EXHIBIT SET-UP, OPERTATION AND TAKE-DOWN POLICIES: Set-up and Take-down times and procedures, as well as the rules and regulations for booth operation are explained thoroughly in this document and also in the Move-In Schedule & Terms document. Exhibitors are expected to comply with the rules & regulations referenced in both of these documents for the benefit of all. Exhibitor set-up will not be permitted unless the Idaho Green Expo has received your electronic acceptance of both of these Agreements, and all fees have been paid in full at least 10 days prior to the Move-In date. The Idaho Green Expo reserves the right to resell the exhibit space if the Exhibitor booth is not set by 10 pm the evening of the Move-In date, unless prior arrangements have been made in writing.
ELIGIBLE EXHIBITS: Idaho Green Expo reserves the right to determine whether any company or product is eligible under its Exhibitor eligibility criteria in its sole and absolute discretion. This determination may be made at any time before or after the start of the Expo.
ELIGIBLE PRODUCTS: It is the responsibility of the Exhibitor to inform Idaho Green Expo of any product, service or claim that does not comply with the regulations of the FDA or any other State or Federal regulatory agency and/or is considered experimental. Exhibitor is strictly prohibited from having or selling on-site any substance or product considered illegal. All products and services to be sold, offered or referred to during the Expo must have been included in the Exhibitor's Application.
LIMITATION OF LIABILITY: Idaho Green Expo does not make, and Exhibitor has not relied upon, any representation or warranty of any kind or nature, including, but not limited to, the number of persons attending, exhibiting at, or sponsoring the Expo. The Exhibitor agrees to release and waive all claims it may have, presently known or unknown, including negligence, against Idaho Green Expo, its members, agents and employees or the owners, lessees, members, agents and employees of the premises where the Expo is held, for loss, theft, damage or destruction of property, or for any injury to Exhibitor or its employees while at the Expo. The Exhibitor indemnifies Idaho Green Expo, its members, agents, and employees, and the owners, lessees, members, agents, and employees of the premises where the Expo is held from any loss or damage or costs incurred by such parties arising out of or related to Exhibitor's exhibit at the Expo.
DEFACING OF BUILDING OR BOOTH CONSTRUCTION: Exhibitors are financially responsible for any damage caused to booths, decorations, and the building and property where the Expo is held. Do not nail, screw, staple, pin, tack, tape, etc. any materials directly to the fabric, walls or columns. Fishing line, string, plastic coated wire, clamps, and s-hooks are effective in securing foam core, pegboard, and other signage to the pipe frame. Tables may be covered with fire retardant materials. All paper covering tables, booths, etc. must be removed at the end of the Expo. Do not remove or tamper with any part of the building or booth structure; this includes support poles, fabric, and lighting. No painting of signs, displays or other objects are permitted in the building. No adhesive-backed (stick-on) decals or similar items, excluding name tags, may be used in the building. "Glitter" is not permitted in carpeted areas of the building. No lighter-than-air balloons are allowed into the building.
DISPLAY DIMENSIONS AND RESTRICTIONS: All Aisles and Exits, as clearly marked or designated on approved show plans, shall be kept clean, clear and free of obstacles. No maintenance or electrical room doors or panels may be blocked in any way. Booth construction shall be substantial and fixed in position in specified areas for the duration of the show. Easels, signs, etc., shall not be placed beyond the booth area into the aisles or lobby areas or on ceiling or columns, etc. Interior furnishings and materials shall not be located so as to obstruct or block exit ways, fire and safety devices or equipment. Working height restrictions within the hall is 8 feet. Each 10'x10' booth comes with a green drape that is 8' tall, and two side drapes that are 3' tall. Distribution of samples and literature is strictly limited to the confines of the Exhibitor's booth.
SOUND DEVICES: The use of devices for mechanical reproduction of sound or music is permitted, but must be controlled. Sound of any kind must not be projected outside the confines of the exhibit booth so as not to disturb other exhibitors or attendees.
REJECTED EXHIBITS: The Exhibitor acknowledges and agrees that its exhibit shall be admitted and shall be permitted to remain in the Expo only upon continued strict compliance by the Exhibitor with the Terms and Conditions herein. Notwithstanding such compliance, Idaho Green Expo reserves the right to reject or remove Exhibitor's exhibit, in whole or in part, from the Expo for any reason whatsoever. If Exhibitor's exhibit is rejected or removed without cause given, Idaho Green Expo shall return to Exhibitor the unearned portion of the rental fee. No portion of the rental fee shall be returned if rejection or removal occurs upon violation of these Terms and Conditions.
INSURANCE: Insurance is the responsibility of the Exhibitor and is recommended. Idaho Green Expo is not responsible for replacement of lost or stolen goods or personal property. Exhibitors are responsible for obtaining their own general liability insurance for the Expo dates, including move-in and move-out. Neither Idaho Green Expo its members, employees and agents, nor the owners or lessors of the exhibit premises will assume any responsibility for an Exhibitor's personal property. It is suggested that the Exhibitor insure his/her property against loss and theft.
EXHIBITOR CONDUCT: Exhibitors agree to conduct themselves in a respectful, cooperative manner appropriate to the integrity of the attendees, fellow exhibitors, and Expo management staff.
CHARACTER OF DISPLAY: Distribution of samples and printed matter of any kind, or any promotional material, is restricted to the confines of the exhibit booth. Because of the nature of this particular event, we are asking that attendees put thought and consideration into the distribution of materials. We ask that exhibitors use sustainable paper and printing processes, give away thoughtful promotional materials and limit their hand-outs to a minimum. No noise makers or anything not in keeping with the character and high standards of Idaho Green Expo may be distributed or utilized by an Exhibitor in the Expo.
EXHIBIT LOGISTICS: Since the event is free to the public, no exhibitor badges will be required. It is the responsibility of each exhibitor to provide their own name badge if they choose to be identified as such.
SUBLEASING: Exhibitors may not sublet or assign their spaces, nor any part thereof, without prior written consent from the Idaho Green Expo.
FIRE & SAFETY LAWS: All federal, state, and city regulations pertaining to fire and safety must be adhered to (i.e., all fabrics used in booth construction/decoration must be flame retardant). The following types of materials are considered acceptable for booth construction and decoration: wood, noncombustible materials as defined by Building Codes, and flame retardant treated materials and decorations. The following exhibits will require advanced written approval, fire permits and/or fire extinguisher in booth: exhibits with canopies, umbrellas, or other horizontal extension that impedes sprinkler systems, and all exhibits having an open flame (i.e. lamps or candles). Any exhibit employing flammable liquid, compressed combustible gas or highly combustible or explosive material is prohibited. Any electrical wiring which might come into contact with the partitions must be inspected and have adequate insulation to prevent electrical shock. Additionally, all cords must be grounded and be UL approved, and taped down so as to not present a tripping hazard.
BOOTH RELOCATION: Idaho Green Expo reserves the right to relocate exhibitors to spaces other than those previously specified if Idaho Green Expo, in its sole and absolute discretion, deems it necessary and in the best interest of the Expo.
ACTS OF GOD, FIRES, STRIKES, ETC: In the event that any outside cause, such as war, fire, strike, governmental action or inaction, or other emergency, prevent the Expo from being held, Idaho Green Expo may retain a sufficient amount of Exhibitor's payments to cover the expenses of Idaho Green Expo.
CANCELLATION OF EVENT: Idaho Green Expo, Inc. reserves the right to cancel the Expo for any reason, without good cause given. If Idaho Green Expo, Inc. cancels the Expo without good cause given, Idaho Green Expo, Inc. will return to Exhibitor any payments made.
COMPLIANCE WITH LAWS/STANDARDS: Exhibitor shall at all times comply, and cause its employees, agents, and independent contractors to comply, with any and all applicable laws, rules, regulations, ordinances and orders of any governmental or quasi-governmental entity or agency having jurisdiction over the Exhibitor's activities at the Expo and the Expo premises (collectively, the "Governmental Laws"). Without limiting the generality of the foregoing, any Exhibitor giving away food in their booth is responsible for all Health Department permits, rules, regulations, etc. Food vendors must sign addendum to this agreement. Also, no food may be sold at the Idaho Green Expo without first consulting with the Boise Centre on the Grove. Exhibitors are responsible for meeting all city/state resale licensing requirements. Exhibitors must comply with all Expo premises rules and Union work rules when and where applicable. Exhibitor shall indemnify, defend and hold harmless Idaho Green Expo for any loss, damages, or costs incurred by Idaho Green Expo arising out of related to Exhibitor's failure to comply with the Governmental Laws.
PAYMENT: In order to maintain a booth reservation, Exhibitors must pay in full by Tuesday, May 01, 2012 or risk losing their booth space and their rental fees.
CANCELLATION: No refunds will be issued for cancellations received after Tuesday, May 01, 2012.
FAILURE TO COMPLY: Failure to comply with these rules, regulations, Terms and Conditions may result in fines levied by Idaho Green Expo and/or government agencies. Idaho Green Expo retains its right to close any exhibit which fails to cooperate with these policies. Any questions or issues that are not covered in this Agreement shall be subject solely to the decision of Idaho Green Expo.
CLEAN-UP POLICY: Exhibitors are responsible for leaving their booth space clean and free of trash or other materials. Booths will be inspected after move out is complete. If a booth is not clean and free of materials, with the exception of freight packaged and labeled for shipment, the exhibitor's credit card will be charged in an amount equal to the actual cost of such clean-up, plus a 10% administration fee.
MODIFICATIONS: This Agreement may be modified only by written agreement signed by Idaho Green Expo and Exhibitor.
